Terms of Use

Last updated: October 25, 2026

These Terms of Use ("Terms") are an agreement between you and Model2 CFO Services ("we," "us," or "our") governing your access to and use of our web application (the "App"). By creating an account or using the App, you agree to these Terms.

1. The Service

The App provides accounting, bookkeeping, tax, and CFO service delivery tools, including client and engagement management, document handling, electronic signatures, proposals, scheduling, messaging, and financial data synchronization from connected sources such as QuickBooks Online.

2. Accounts and Access

Access is limited to authorized firm personnel and invited users. You are responsible for the accuracy of your registration information and for safeguarding your login credentials. Access to client data is limited by role-based permissions; users may only access clients they are assigned to. We may suspend or terminate accounts that violate these Terms or create security risks.

3. Client Responsibilities

By connecting a QuickBooks Online account or other data source, you confirm you are authorized to grant access to it. You are responsible for the accuracy and completeness of financial data you provide or synchronize. QuickBooks data is provided "as is" by Intuit, subject to Intuit's terms.

4. Electronic Signatures

The App enables electronic signatures. You agree that your electronic signature, executed through the App and accompanied by the recorded metadata (name, email, IP address, timestamp), is the legal equivalent of a handwritten signature and is binding under the U.S. E-SIGN Act and applicable state law (UETA). You consent to receive documents electronically and to use electronic records.

5. Acceptable Use

You may not: use the App for unlawful purposes; attempt to gain unauthorized access to other users' data or systems; interfere with the App's operation; scrape, reverse engineer, or resell access to the App; or use the App in a way that violates professional or regulatory standards applicable to accounting and tax services.

6. Intellectual Property

We own the App, its design, and its content, excluding client-provided materials. You retain ownership of your data and documents; you grant us a limited license to process them to provide the services.

7. Third-Party Services

The App integrates with third parties including Intuit (QuickBooks), Google, Microsoft, and Twilio. Their services are subject to their own terms, and we are not responsible for their availability, acts, or omissions.

8. Professional Services Disclaimer

The App is a service-delivery tool. Financial, tax, and accounting outputs, reports, and commentary generated through or by the App do not constitute tax, legal, or investment advice unless expressly provided as part of an engagement between you and the firm. Consult a qualified professional before acting.

9. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the App. Our aggregate liability for all claims is limited to the fees you paid us in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations, so parts of this limitation may not apply to you.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the App, your data, your breach of these Terms, or your violation of applicable law or professional standards.

12. Termination

We may suspend or terminate access to the App for violation of these Terms. You may stop using the App at any time. Sections 8 through 14 survive termination.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in California, and you consent to their jurisdiction.

14. Changes

We may update these Terms and will post the new version with an updated date. Continued use after changes constitutes acceptance.
